General Conditions Foros Planner

1. VIGENCIAVALIDITY

This Agreement shall enter into force on the date of its signature and shall terminate upon the conclusion of the event or events or upon full compliance with the obligations of the parties set forth in the contract.

2. PAYMENT TERMS

Payment of the amounts stipulated in this contract shall be made in full by bank transfer to Bankinter, IBAN: ES44 0128 0063 9301 0002 4827, within a maximum of seven (7) business days from receipt of the invoice.

3. ACTIVATION OF CONSIDERATIONS

To activate the considerations, the participating entity must have paid Planner Exhibitions the amount (including VAT) of the stipulated sums. 

Likewise, such considerations will not be activated if the participating entity has outstanding invoices related to previous events organized by Planner Exhibitions. 

4. EARLY TERMINATION

4.1. EARLY TERMINATION FOR NON-PAYMENT

If the participating entity fails to comply with the payment terms stipulated in this Agreement, Planner Exhibitions, S.L. reserves the right to terminate it immediately, without prejudice to any legal actions that may correspond for compensation of damages caused.

4.2. EARLY TERMINATION DUE TO WITHDRAWAL BY THE CONTRACTING ENTITY

The withdrawal of the contracting entity from its participation constitutes grounds for termination of this Agreement, for all purposes, with the obligation to pay the amounts accrued at the time such withdrawal is communicated. 

For the purposes of the preceding paragraph, accrued amounts are those that the contracting company should have paid to Planner Exhibitions at the time of formalizing said withdrawal, in accordance with the established payment terms. 

Withdrawal must be made expressly and in writing. 

4.3. EARLY TERMINATION DUE TO EVENT CANCELLATION

In the event of cancellation of the event, Planner Exhibitions shall reimburse the contracting entity for the amounts actually paid, without any additional compensation or indemnity beyond such reimbursement. 

If the event is canceled due to force majeure and Planner Exhibitions reschedules it for another date within the same calendar year, no reimbursement shall apply. 

4.4. Force majeure

Force majeure shall include circumstances affecting either the organizer or the venue where the event was scheduled to take place. 

Force majeure (or fortuitous event) is defined as those events that could not have been foreseen, or that were foreseen, were unavoidable, such as, but not limited to, natural disasters (flood, fire, earthquake, storm), armed conflicts, civil disturbances of order, acts of terrorism, strikes, forced stoppages, boycotts, epidemics and pandemics or similar events, beyond the reasonable control of the affected party, that prevent the adequate preparation and/or organization and/or celebration of the event on the scheduled dates. 

5. CONFIDENTIALITY

Both Parties agree to maintain the utmost confidentiality regarding all information accessed under this Agreement. This obligation shall remain in force during the term of the Agreement and for five (5) years after its termination.

6. IMPORTANT INFORMATION ABOUT PARTICIPANT DATABASES AT PLANNER EXHIBITIONS EVENTS

Occasionally, companies participating in our events may receive offers to purchase attendee databases. Planner Exhibitions does not sell or transfer participant lists or databases to third parties for commercialization, so any such offers should be ignored.

7. DATA PROTECTION

Personal data provided to Planner Exhibitions in connection with participation in the fair will be processed in accordance with our Privacy Policy, published at the following link: https://plannerexhibitions.com/en/privacy-policy/

8. JURISDICTION

This Agreement, together with any amendments, modifications, and supplements, and the rights of the Parties hereunder shall be governed by and construed in accordance with Spanish law. 

The parties agree that any dispute, discrepancy, issue, or claim arising from the execution or interpretation of this Agreement shall be subject to the Commercial and Civil Code and, in any case, to the jurisdiction of the Courts of Justice of Madrid.
