VALIDITY<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Agreement shall enter into force on the date of its execution and shall remain in effect until the conclusion of the contracted event(s) or until all obligations set forth herein have been fully performed. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. ABSENCE OF EXCLUSIVITY<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Agreement does not grant any exclusivity rights to the Partner. Planner Exhibitions reserves the right to enter into similar agreements with third parties without restriction or limitation. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. PAYMENT METHOD<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Payment of the amounts stipulated in this Agreement shall be made in full on the invoice issuance date by bank transfer to Planner Exhibitions, S.L., to the bank account indicated on the corresponding invoice. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">All payments shall be made in euros (\u20ac). Any bank charges, transfer fees, or exchange rate differences shall be borne exclusively by the contracting entity. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The execution of this Agreement constitutes full acceptance of the agreed commercial terms and entails the accrual of 100% of the amount corresponding to the participation modality selected by the client, irrespective of any payment schedule that may apply in cases where payment is not required immediately in full. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. ACTIVATION OF CONSIDERATIONS<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The formalization of participation shall entail the immediate activation of spaces, resources, operational planning, communication activities, and all other benefits and deliverables associated with this Agreement, unless the client has outstanding invoices relating to any other event organized by Planner Exhibitions. In such cases, settlement of all outstanding amounts shall be an essential condition for the activation of the benefits and deliverables associated with this Agreement. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In the event of non-compliance with the payment terms, Planner Exhibitions may suspend or limit, in whole or in part, the benefits and deliverables established for the event(s) covered by this Agreement, including, without limitation, the exclusion of the participating entity from communication materials, promotional campaigns, the official programme, and any physical or digital event media. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\">4.1 Conditions for Participation in the Event\u2019s Professional Program<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">For participation packages that include, as part of the agreed consideration, the Partner\u2019s participation as a speaker, moderator, or panelist in the professional programme of the Planner Forums, Planner Exhibitions shall have the exclusive right to define and determine the allocation of the corresponding session, including, without limitation, its placement within the agenda, date, time, format, topic, and final composition of participants. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Such allocation shall be made in accordance with criteria including audience interest, programme coherence and balance, relevance of the content, and contribution to the overall value of the event, with Planner Exhibitions\u2019 judgment prevailing in all cases. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Partner expressly acknowledges and accepts that participation in the programme does not entail any guarantee regarding specific time slots, preferential positioning, sector exclusivity or any other form of exclusivity, nor the absence of participation by companies operating in the same sector or considered competitors, whether within the programme as a whole or within the specific session(s) in which the Partner participates. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Planner Exhibitions shall structure the programme primarily on the basis of professional interest and the value of the content offered to attendees. <\/p>\n<\/div><\/div>\n\n<div id=\"ID1B\" class=\"wp-block-group\"><div class=\"wp-block-group__inner-container is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\">5. ADVANCE RULING<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5.1. EARLY TERMINATION FOR NON-PAYMENT<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Should the participating entity fail to comply with the payment terms established in this Agreement, Planner Exhibitions reserves the right to terminate the Agreement immediately, retaining any amounts paid up to that date as liquidated damages, without prejudice to any legal actions that may be available to recover any additional losses or damages incurred.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5.2. EARLY TERMINATION DUE TO WITHDRAWAL BY THE CONTRACTING ENTITY<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The withdrawal, cancellation, termination, or inability to participate by the contracting entity, regardless of the reason, shall constitute grounds for termination of this Agreement for all purposes and shall give rise to the obligation to pay any amounts accrued as of the date such withdrawal is communicated, as compensation for the losses and damages caused.  <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For the purposes of the preceding paragraph, accrued amounts shall be defined as those that the contracting company should have paid to Planner Exhibitions at the time of formalizing the aforementioned resignation, in accordance with the established payment method. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any withdrawal must be expressly communicated in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any amounts already paid shall be non-refundable and shall be retained by Planner Exhibitions as liquidated damages, without prejudice to Planner Exhibitions\u2019 right to seek compensation for any additional losses and damages incurred. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Failure to attend, inability to provide representation, internal organizational changes, corporate circumstances, or the unavailability of spokespersons on the part of the contracting entity shall not constitute grounds for exemption from payment obligations nor for modification of the agreed financial terms. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5.3. EARLY TERMINATION DUE TO EVENT CANCELLATION<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">In the event of cancellation of the event, Planner Exhibitions shall refund the contracting entity any amounts effectively paid, with no further compensation, indemnity, or reimbursement of any kind being due. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If the event is cancelled due to force majeure and Planner Exhibitions reschedules it to another date within the same calendar year, no refund shall be due.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>5.4. Force majeure<\/strong><\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Force majeure shall include any circumstance affecting either the Organizer or the venue where the event is scheduled to take place. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Force majeure (or act of God) shall mean any event that could not reasonably have been foreseen or, if foreseen, could not reasonably have been avoided, including, without limitation, natural disasters (including floods, fires, earthquakes, and storms), armed conflicts, civil unrest, acts of terrorism, strikes, compulsory work stoppages, boycotts, epidemics, pandemics, or similar events beyond the reasonable control of the affected party that prevent the proper preparation, organization, and\/or holding of the event on the scheduled dates.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Internal circumstances affecting the participating entity, including strategic changes, corporate reorganizations, lack of available representatives, or any other circumstance relating to its internal organization, shall not constitute force majeure events. <\/p>\n<\/div><\/div>\n\n<div id=\"ID2A\" class=\"wp-block-group\"><div class=\"wp-block-group__inner-container is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\">6.LIMITATION OF LIABILITY<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Planner Exhibitions\u2019 maximum liability arising from any claim related to this Agreement shall, in all circumstances, be limited to the amount actually paid by the contracting entity. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Under no circumstances shall Planner Exhibitions be liable for indirect damages, loss of profits, loss of business opportunities, reputational damage, loss of data, or loss of anticipated commercial benefits. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. CONFIDENTIALITY<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Both Parties undertake to maintain the strictest confidentiality regarding all information to which they may have access as a result of this Agreement. This obligation shall remain in force throughout the term of the Agreement and for a period of five (5) years following its termination. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. INFORMATION REGARDING DATABASES<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Occasionally, ccompanies participating in our events may receive offers to purchase attendee databases. Planner Exhibitions does not sell, nor authorize third parties to sell, participant lists or attendee databases. Any such offers should therefore be disregarded. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Certain participation packages in Planner Exhibitions events may include the provision of contact information relating to registered attendees who have expressly consented to receive commercial communications, within the scope of the event\u2019s purposes and in accordance with applicable data protection regulations. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. NOTICES<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All notices, requests, demands, and other communications relating to this Agreement shall be made by any means that provides evidence of receipt and shall be addressed to the individuals designated as the primary contacts of the Parties at the beginning of this Agreement. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any change to such contact details must be notified to the other Party in order to become effective. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. DATA PROTECTION<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Personal data provided to Planner Exhibitions in connection with participation in the event shall be processed in accordance with our Privacy Policy available at:<br\/><a href=\"https:\/\/plannerexhibitions.com\/en\/privacy-policy\/\" target=\"_blank\" rel=\"noreferrer noopener\">https:\/\/plannerexhibitions.com\/politica-privacidad\/<\/a><\/p>\n<\/div><\/div>\n\n<div id=\"ID2B\" class=\"wp-block-group\"><div class=\"wp-block-group__inner-container is-layout-constrained wp-block-group-is-layout-constrained\">\n<h2 class=\"wp-block-heading\">11. ENTIRE AGREEMENT<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Agreement constitutes the entire, final, and exclusive agreement between the Parties with respect to its subject matter and supersedes and replaces, for all purposes, any prior agreements, negotiations, commitments, communications, or understandings, whether written or oral, relating thereto, which shall be deemed null and void. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. ASSIGNMENT<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Neither Party may assign, transfer, or otherwise dispose of all or part of its rights or obligations under this Agreement without the prior written consent of the other Party. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13. EXPRESS REPLACEMENT CLAUSE<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">As of the date indicated in the heading of these General Terms and Conditions, they shall supersede, replace, and render ineffective any previous versions executed between the Parties. Accordingly, upon entry into force of this document, all prior versions shall be deemed terminated and of no legal force or effect, except with respect to obligations which, by their nature, are intended to survive termination.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">14. SEVERABILITY <\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">If any provision of this Agreement is declared null, illegal, or unenforceable by a final court decision, such determination shall not affect the validity, legality, or enforceability of the remaining provisions. The Parties shall replace the affected provision with a valid provision that most closely reflects the original intent.  <\/p>\n\n\n\n<h2 class=\"wp-block-heading\">15. GOVERNING LAW AND JURISDICTION<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">This Agreement, together with any amendments, modifications, or supplements thereto, and the rights and obligations of the Parties arising therefrom, shall be governed by and construed in accordance with the laws of Spain. <\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Parties agree that any dispute, controversy, claim, or disagreement arising out of or relating to the interpretation, performance, or execution of this Agreement shall be governed by the Spanish Commercial and Civil Codes and shall be submitted exclusively to the Courts of Madrid, Spain. <\/p>\n<\/div><\/div>\n","protected":false},"excerpt":{"rendered":"<p>1.
